IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least thirty (30) days before taking effect. Your continued use of PlansFlow after such modifications constitutes acceptance of the updated Terms.

2. Eligibility and Account Requirements

2.1 Age Requirements

PlansFlow is primarily intended for adults eighteen (18) years of age or older. If you are between 13 and 17 years old, you may only use the Platform under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf and who remains responsible for your activity on the Platform. We do not knowingly collect or solicit personal information from anyone under the age of 13, and users under 13 are not permitted to use the Service.

3. Description of Services

3.1 Platform Overview

PlansFlow is an AI-powered creative platform that enables users to generate, edit, and manage content including but not limited to: text, images, videos, audio, and other multimedia assets. The Platform provides tools for creative project management, collaboration, and AI-assisted content generation.

3.2 AI Model Providers

PlansFlow integrates with multiple third-party AI model providers to deliver its services, including but not limited to:

  • Venice.ai: Providing text generation, image generation, video synthesis, text-to-speech, and embedding models;
  • Google Gemini: Providing multimodal AI capabilities;
  • Internal Routing Systems: Optimizing model selection based on task requirements;
  • Other Third-Party Providers: As may be integrated from time to time.

By using PlansFlow, you acknowledge that your inputs and requests may be transmitted to these third-party AI providers for processing, subject to their respective terms of service and privacy policies.

3.3 AI Provider Disclosure

Important: PlansFlow uses multiple third-party AI providers to power its generation features. Your prompts, inputs, and uploaded media may be transmitted to these providers solely for the purpose of generating outputs. These providers include but are not limited to:

  • Venice.ai: Text, image, video, TTS, and embedding models;
  • Google Gemini: Multimodal AI processing;
  • Internal routing systems: For model selection optimization.

Data Training Policy: PlansFlow does not use your User Content to train AI models without explicit consent. Our primary AI providers state in their API terms that they do not use customer API inputs or outputs to train their foundation models in their paid API products. Some providers may retain limited data for a short period of time for abuse monitoring, security, and operational diagnostics. We do not control their independent practices and encourage you to review their privacy policies directly. PlansFlow is not liable for independent changes in third-party provider policies, but will update its own documentation and practices where required by law.

Model Availability: PlansFlow does not guarantee the continued availability of any specific AI model or provider. Models may be modified, replaced, or deprecated based on technical, legal, or commercial requirements.

3.4 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

Third-Party Dependencies: Outages, limitations, or service degradations affecting third-party AI providers (such as Venice.ai, Google Gemini, or others) are outside our control and do not constitute a failure or breach of the Service by PlansFlow.

4. Intellectual Property and Content Ownership

4.1 Your Content

Ownership of Outputs: Subject to these Terms and applicable law, you retain ownership of the content you create using PlansFlow ("User Content"), including AI-generated outputs, to the fullest extent permitted by applicable intellectual property laws. This includes the right to use, reproduce, modify, distribute, display, and commercially exploit your User Content.

Important Limitations:

  • Intellectual property rights in AI-generated content remain an evolving area of law. We make no representations regarding the protectability or ownership status of AI-generated content under any jurisdiction;
  • You are solely responsible for ensuring your use of outputs does not infringe third-party rights;
  • Outputs may not be unique; other users may generate similar or identical content;
  • Certain outputs may incorporate elements from training data or public domain sources.

4.2 License to PlansFlow

This license terminates when you delete your content or account, except as required for legal compliance or backup purposes.

4.3 PlansFlow Intellectual Property

The Platform, including its design, features, code, algorithms, trademarks, logos, and documentation, is owned by PlansFlow and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without prior written consent.

4.4 No Training Without Consent

PlansFlow does not use your User Content to train our own AI models without your explicit, affirmative consent. Third-party AI providers may have their own data usage policies, which you should review independently.

Reporting Abuse: Users may report abusive, illegal, or policy-violating content to support@plansflow.com. PlansFlow may preserve and share relevant data with law enforcement where legally required or where necessary to protect the safety of individuals or the public.

6. Uncensored and Experimental Model Access

6.1 Advanced Model Tiers

PlansFlow provides access to various AI model tiers, including:

  • Standard Models: Default models with built-in safety filters appropriate for general creative use;
  • Open/Advanced Models: Models with broader creative latitude intended for mature, artistic, or research purposes;
  • Experimental Models: Beta or preview models that may have unpredictable behavior or outputs.

6.2 Age and Identity Verification

Access to "open," "uncensored," or experimental model categories requires:

  • Affirmative confirmation that you are at least 18 years of age;
  • Acknowledgment of additional usage restrictions and disclaimers;
  • PlansFlow may require age verification or additional identity verification for access to restricted models where required by law, platform policy, or to comply with third-party provider requirements;
  • Understanding that outputs may include mature themes or less filtered content;
  • Agreement to assume full responsibility for the use and distribution of generated content.

6.3 User Responsibility for Advanced Models

By accessing advanced or uncensored models, you acknowledge that:

  • You are solely responsible for reviewing and filtering outputs before use;
  • Prohibited content (CSAM, non-consensual imagery, etc.) remains absolutely forbidden regardless of model tier;
  • PlansFlow bears no liability for outputs generated using these models.

7. AI Model Limitations and Disclaimers

7.1 No Guarantees

AI-generated content is provided "AS IS" without warranties of any kind. We do not guarantee that outputs will be:

  • Accurate, complete, current, or error-free;
  • Suitable for any particular purpose;
  • Free from bias, offensive content, or factual inaccuracies;
  • Free from intellectual property concerns;
  • Consistent, reproducible, or predictable.

7.2 Inherent Limitations

AI models may produce outputs that are:

  • Hallucinated: Presenting false information as fact;
  • Biased: Reflecting biases present in training data;
  • Inconsistent: Producing different results for similar inputs;
  • Inappropriate: Generating content outside intended parameters despite safety measures.

7.3 High-Risk AI Output Disclaimer

IMPORTANT WARNING: Certain AI models available through PlansFlow (including but not limited to SORA 2 Pro, Veo 3.1 Full Quality, Kling Pro, and other advanced video models) are capable of generating hyper-realistic video, synthetic media, and photorealistic imagery that may be difficult to distinguish from real content.

By using these high-capability models, you acknowledge and agree that:

  • You are solely responsible for all content generated using these models;
  • You will not use generated content to deceive, defraud, or mislead others;
  • You will clearly label synthetic media as AI-generated when required by law or platform policies;
  • You are responsible for complying with any local, national, or international laws on labeling, watermarking, or disclosing AI-generated media;
  • PlansFlow may implement technical measures (such as metadata tagging or watermarking) to support compliance with labeling requirements where required by law or industry standards;
  • You assume all liability for any harm, damages, or legal consequences arising from your use of generated content;
  • PlansFlow expressly disclaims all liability for actions taken by you or third parties using content generated through our Platform.

7.4 User Responsibility

You are solely responsible for:

  • Reviewing and verifying AI-generated content before use;
  • Ensuring outputs comply with applicable laws and regulations;
  • Obtaining necessary rights and clearances for commercial use;
  • Consequences arising from your use of AI-generated content.

7.5 Medical, Legal, and Financial Advice

AI-generated content does not constitute professional medical, legal, financial, or other specialized advice. Always consult qualified professionals for matters requiring expert judgment.

8. Billing, Credits, and Subscriptions

8.1 Credit System (PF-Credits)

PlansFlow operates on a credit-based system ("PF-Credits"). Credits are consumed when using AI generation features. Credit costs vary by model, output type, and complexity. Current pricing is displayed in the Platform interface and may be updated periodically.

We offer various subscription tiers (Free, Pro, Premium, Enterprise) with different credit allowances, features, and limitations. Subscription details, including pricing and included features, are available on our pricing page.

Payments are processed through Stripe, Inc. By making a purchase, you agree to Stripe's terms of service and privacy policy. We do not directly store payment card information. You authorize us to charge your designated payment method for subscriptions and credit purchases.

8.4 Subscription Billing

  • Subscriptions are billed in advance on a recurring basis (monthly or annually);
  • Unused credits from monthly allowances may or may not roll over depending on your plan;
  • Subscriptions automatically renew unless cancelled before the renewal date;
  • Price changes for existing subscribers will be communicated with 30 days' notice.

8.5 Refund Policy

Subscriptions: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods, except as required by applicable law.

Credit Purchases: Purchased credits are generally non-refundable once consumed. Refund requests for unused credits may be considered on a case-by-case basis within 14 days of purchase.

Technical Failures: If credits were consumed due to verified technical failures on our end, we will restore credits at our discretion.

8.6 Chargebacks and Fraud

Fraudulent chargebacks or payment disputes made in bad faith will result in immediate account termination, forfeiture of all credits and content, and potential legal action to recover losses including administrative fees.

9. Rate Limits and Usage Controls

9.1 Automatic Rate Limiting

PlansFlow enforces automatic rate limits to ensure fair access for all users and to prevent abuse, excessive API costs, and service degradation. Rate limits may include:

  • Maximum requests per minute, hour, and day;
  • Cooldown periods between generation requests;
  • Monthly generation quotas based on subscription tier;
  • Storage limits for uploaded and generated content.

9.2 Budget Protection

To protect both users and our platform from unexpected costs:

  • We may pause or throttle service when unusual usage patterns are detected;
  • Monthly usage caps apply based on your subscription tier;
  • You will be notified when approaching usage limits;
  • Service may be temporarily suspended if limits are exceeded.

9.3 Fair Use Policy

We reserve the right to limit or suspend accounts that engage in patterns of usage that negatively impact the service for other users, even if within technical limits. Examples include automated bulk generation, API abuse, or resource monopolization.

10. Data Handling and Privacy

Your use of PlansFlow is also governed by our Privacy Policy, which describes how we collect, use, store, and share your information. Key points include:

  • Your inputs and outputs may be processed by third-party AI providers;

13.4 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

14.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or to prevent irreparable harm.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
